Call #: K845.S7 G86 2013
Publisher: University of Chicago Press,

Drawing on over two hundred interviews, Mitu Gulati and Robert E. Scott provide an eye-opening account of the institutional pressures on attorneys who prepare contracts that undergird huge financial deals. A contract of this sort consists mostly of boilerplate terms, that is, clauses copied from prior deals. The authors insightfully explore why most lawyers engage in this sort of herd behavior, but also why they respect the few who stray from the herd. A landmark study of the folkways of high-powered transactional lawyers. Find out more (catalog link)

Location: lax
Call #: KF808 .R25 2013
Publisher: Princeton University Press,

Boilerplate--the fine-print terms and conditions that we become subject to when we click "I agree" online, rent an apartment, enter an employment contract, sign up for a cellphone carrier, or buy travel tickets--pervades all aspects of our modern lives. On a daily basis, most of us accept boilerplate provisions without realizing that should a dispute arise about a purchased good or service, the nonnegotiable boilerplate terms can deprive us of our right to jury trial and relieve providers of responsibility for harm.Boilerplateis the first comprehensive treatment of the problems posed by the increasing use of these terms, demonstrating how their use has degraded traditional notions of consent, agreement, and contract, and sacrificed core rights whose loss threatens the democratic order. Chapters examine case studies that provide the empirical background for the analysis, the precontractual stage, the application of basic questions of contract law to dynamic networks, the internal and legal relationships between the participants in dynamic networks during the operative phase of such networks, the elements of national partnership law that apply and may override the wishes of contracting parties, and the notion of contractual networks associated with the series of contracts that often underlie dynamic networks of business enterprise. Domestic judicial review of trade remedies : experiences of the most active WTO members / Edited by Muslum Yilmaz.

Location: lax
Call #: K3943 .D655 2012
Publisher: Cambridge University Press,

rade remedies, namely anti-dumping, countervailing measures and safeguards, are one of the most controversial issues in today's global trading environment. When used, such measures effectively close the markets of the importing countries to competition from outside for a certain period of time. Exporters that are faced with such measures can either try to convince their government to bring a case against the government of the importing country in the WTO or to use, themselves, the judicial review mechanism of the importing country. This second path has been, until now, largely unexamined. Domestic Judicial Review of Trade Remedies is the first book of its kind to examine in detail how the judicial review process has functioned and considers the experiences in the domestic courts of the twenty-one WTO members that are the biggest users of trade remedies. Banking secrecy and offshore financial centers : money laundering and offshore banking / Mary Alice Young.

Location: lax
Call #: K5223 .Y68 2013
Publisher: Routledge,

This book brings together the issues surrounding banking secrecy and confiscation of criminal proceeds. The book examines the existing legal agreements at the international, regional and national levels and their interaction in the substantive areas of confiscation, anti-money laundering and banking confidentiality laws. It looks at how these agreements have been applied in offshore financial centres and demonstrates that despite a number of legally binding UN Conventions as well as global anti-money laundering recommendations, the implementation of them is often lukewarm by those Parties who have ratified the Convention and adopted obligations, because of this the confiscation legislation is incompatible with strict banking confidentiality laws. The work draws on the experience of criminologists to offer critical insight into the legislative frameworks designed to deal with banking secrecy and confiscation in offshore financial centres. It goes on to offer suggestions for measures that may be taken by major economies to circumvent the lack of cooperation by offshore financial centres as intolerance towards money laundering grows in light of recent political and economic events. Gaveling down the rabble : how "free trade" is stealing our democracy / by Jane Anne Morris.

Location: lax
Call #: KF4606 .M67 2008
Publisher: Apex Press,

In Gaveling Down the Rabble, author/activist Jane Anne Morris explores a century and a half of efforts by corporations and the courts to undermine local democracy in the United States by using a "free trade" model. It was that very nineteenth-century model that was later adopted globally by corporations to subvert local attempts at protecting the environment and citizen and worker health.Gaveling Down the Rabble is essential reading for understanding the background of the current struggle for U.S. democracy local, state and national against growing corporate power and how we can challenge it. Since the late 1800s the U.S. Supreme Court has been cutting our local, state and national democracy off at the knees in the name of "free trade" by usurping the power to make public policy from our elected representatives in the Congress and the state legislatures and by giving power to corporations over citizens. By erecting a "free trade" zone in the U.S., corporations and their champions on the Supreme Court have seen to it that "we do not have a chance of building a democracy." Corporate manslaughter and regulatory reform / Paul Almond.

Location: lax
Call #: KD7965 .A96 2013
Publisher: Palgrave Macmillan,

Corporate Manslaughter and Regulatory Reform provides an innovative account of the emergence of new corporate manslaughter offences to criminalise deaths in the workplace during the last twenty years. Occurring in many different national jurisdictions, this book shows how these developments can be understood as a coherent phenomenon. Almond identifies the historical and legal origins of the instrumentalism that has limited the ability of health and safety regulation to respond effectively to work-related death cases, explaining how and why criminal law came to be used as a means of addressing these limitations by reinforcing the moral values underpinning regulation. The contemporary neoliberal political context poses fundamental challenges to systems of safety regulation; it has created an environment in which criminal law is seen as an effective and desirable means of delivering important moral and symbolic messages that regulation cannot communicate effectively itself. Freedom to harm : the lasting legacy of the laissez faire revival / Thomas O. McGarity.

Location: lax
Call #: KF1600 .M395 2013
Publisher:

This book tells the story of how the business community, and the trade associations and think tanks that it created, launched three powerful assaults during the last quarter of the twentieth century on the federal regulatory system and the state civil justice system to accomplish a revival of the laissez faire political economy that dominated Gilded Age America. Although the consequences of these assaults became painfully apparent in a confluence of crises during the early twenty-first century, the patch-and-repair fixes that Congress and the Obama administration put into place did little to change the underlying laissez faire ideology and practice that continues to dominate the American political economy. In anticipation of the next confluence of crises, Thomas McGarity offers suggestions for more comprehensive governmental protections for consumers, workers, and the environment. Latin American company law.

Location: lacom
Call #: KG320 .L38 2013
Publisher: Carolina Academic Press,

The two volumes of Latin American Company Law aim to create a better understanding of Latin America's company law as a tool for harnessing development capital, local and foreign, and for developing a broader class of traders, investors, lenders and corporate managers. In pursuing these goals, the authors and editors share a belief in a comparative analysis that the National Law Center for Inter-American Free Trade (NLCIFT) refers to as 'contextual': legal institutions are examined not only in light of the legal system to which they belong but also as a product of their normative purposes and socio-economic environment. Thus, prospective investors in and lenders to Latin America as well as their legal and economic advisors will learn about the legal and cultural or institutional obstacles to capital formation and financing, especially at the bottom of the economic pyramid. Law and fair work in China / Sean Cooney, Sarah Biddulph and Ying Zhu.

Location: lacom
Call #: KNQ1270 .C66 2013
Publisher: Routledge,

China’s economic reforms have brought the country both major international clout and widespread domestic prosperity. At the same time, the reforms have led to significant social upheaval, particularly manifest in labour relations. Each year, several hundred thousand disputes break out over working conditions, many of them violent, and the Chinese state has responded with both legal and political strategies. This book investigates how Chinese governments have used law, and other forms of regulation, to govern working conditions and combat labour disputes. Starting from its beginnings in the Republican period the book traces the evolution of the law of work in modern China right up to the reforms of the present day. It goes on to consider the structure of Chinese work law, drawing on both Chinese and Western scholarship to provide new insights into its unique features and assess where the law is innovative and where it is stagnant and unresponsive. Finally, the authors explore the various legal and extra-legal techniques successive Chinese governments have adopted to enforce employment law and the responses of firms, workers and organizations to these practices. Legal reform and business contracts in developing economies : trust, culture, and law in Dakar / Julie Paquin.

Location: lacom
Call #: KTG920 .P37 2012
Publisher: Ashgate Pub.,

This book examines the prospects for business law reform to drive economic development in developing countries. It argues that, despite statements to the contrary, cultural factors and other local conditions in developing countries are not properly taken into account in current business law reform programs. Utilizing the city of Dakar as an example, this book investigates the consequences of this lack of fit between local needs and transplanted legal models by examining the potential and actual impact of the OHADA program of law reform on local business practices. Focusing on how managers make decisions and apply appropriate norms in routine business operations, the book documents how contractual disputes arise and are solved in Dakar and the role played by formal law in these processes. By examining imported law from the point of view of the end-users of legal reforms, the book reveals the complex relationship between formal law, local cultural norms and the activities of SMEs operating in developing economies, and calls for a reconsideration of current law and development theory as well as the role of contract law in business decisions. Revisiting the contracts scholarship of Stewart Macaulay : on the empirical and the lyrical / edited by Jean Braucher, John Kidwell and William C. Whitford.

Location: lax
Call #: K840.A6 R48 2013
Publisher: Hart,

This book contains papers, prepared for a conference held at the Wisconsin Law School in 2011, in honor the work of Stewart Macaulay, one of the most famous contracts scholars of his generation. Macaulay has been writing about contracts and contract law for over 50 years, with the 1960s being particularly productive years for Macaulay, when he introduced many novel ideas into the scholarly world. Macaulay's foundational work, for what is now called relational contract theory, was published during this period. He is also known for his use of empirical research and interdisciplinary theories which illuminate our knowledge of contracting practices. The papers reflect, in diverse ways, on the subsequent influence and the contemporary relevance of Stewart Macaulay's work. All the contributors are important contracts scholars in their own right. The book also reproduces Macaulay's most cited paper: Non-Contractual Relations in Business. Find out more (catalog link)

Baseball trust : a history of baseball's antitrust exemption / Stuart Banner.

Location: lax
Call #: KF3989 .B36 2013
Publisher: Oxford University Press,

In The Baseball Trust, legal historian Stuart Banner illuminates the series of court rulings that resulted in one of the most curious features of our legal system-baseball's exemption from antitrust law. A serious baseball fan, Banner provides a thoroughly entertaining history of the game as seen through the prism of an extraordinary series of courtroom battles, ranging from 1890 to the present. The book looks at such pivotal cases as the 1922 Supreme Court case which held that federal antitrust laws did not apply to baseball; the 1972 Flood v. Kuhn decision that declared that baseball is exempt even from state antitrust laws; and several cases from the 1950s, one involving boxing and the other football, that made clear that the exemption is only for baseball, not for sports in general. Location: lax
Call #: KF801 .H23 2013
Publisher: Gower,

Savvy managers use contracts proactively to reach their business goals and minimize their risks. To succeed, these managers need a plan/framework and A Short Guide to Contract Risk provides this. It introduces the notion of contract literacy: a set of skills relevant for all who deal with contracts in their business environment. Arguing that contracts are too important to be left to lawyers alone, this short guide describes lean contracting, visualization and a number of easy-to-use tools that enable managers and lawyers to better understand each others' viewpoints and manage contract risks and opportunities. What makes this short guide from the authors of the acclaimed Proactive Law for Managers especially valuable, if not unique, is its down-to-earth managerial/legal approach. It is about understanding and using legally sound contracts as managerial tools for well thought-out, realistic risk allocation in business deals and relationships. Find out more (catalog link)

The book discusses governance, law, and constitutional matters in the context of international corporate constitutional governance. It examines how and why the business world, commercial relations, and company activities have increasingly become subject to legal and constitutional forms of regulation and governance at the international level. It analyses how we should characterize the process that has seen the international corporate arena increasingly subject tojuridical and constitutional-like regulatory initiatives and interventions and whether this amounts to a new attempt to subject international commercial relations to the 'rule of law' and, indeed, to rule the world through these very means. Thus, it is a useful resource for attorneys and law students alike. It could be a supplement to a course on trade secret law or an IP survey course that covers trade secret law, as most now do. Like the casebook, it focuses on the predominate law governing trade secrets in the U.S.: The Uniform Trade Secrets Act (now applicable in 47 of 50 states). The Trade Secret Law in a Nutshell addresses both international and criminal enforcement of trade secret rights. Find out more (catalog link)

Pharmaceutical patents : issues and considerations / Florian Aerts, editor.

Location: lax
Call #: KF3133.D78 P53 2013
Publisher:

Although brand-name pharmaceutical companies routinely procure patents on their innovative medications, such rights are not self-enforcing. Brand-name firms that wish to enforce their patents against generic competitors must therefore commence litigation in the federal courts. Such litigation ordinarily terminates in either a judgement of infringement, which typically blocks generic competition until such time as the patent expires, or a judgement that the patent is invalid or not infringed, which typically opens the market to generic entry. This book introduces and analyses innovation and competition policy issues associated with pharmaceutical patent litigation settlements. It begins with a review of pharmaceutical patent litigation procedures under the Hatch-Waxman Act, then introduces the concept of reverse payment settlements, and analyses the status of reverse payment settlements under antitrust laws, and discusses congressional issues and possible alternatives. Outsourcing justice : the rise of modern Arbitration laws in America / Imre Szalai.

Call #: KF9085 .S98 2013
Publisher: Carolina Academic Press,

Arbitration is a method of dispute resolution in which parties agree to submit their dispute to a private, neutral third person, instead of a traditional court with a judge and jury. This private system of arbitration, which is often confidential and secretive, can be a polar opposite, in almost every way, to the public court system. Over the past few decades, arbitration agreements have proliferated throughout American society. Such agreements appear in virtually all types of consumer transactions, and millions of American workers are bound by arbitration agreements in their employment relationships. America has become an "arbitration nation," with an increasing number of disputes taken away from the traditional, open court system and relegated to a private, secretive system of justice. How did arbitration agreements become so widespread, and enforceable, in American society? Find out more (catalog link)

Since the EC Merger Regulation was adopted in 1989, merger control has become established as an important part of EC competition law so that today all major businesses and law firms are aware of the Commission's extensive powers in this field. Right from the beginning, the Regulation's scope has occupied a central role in many mergers taking place both inside and outside the European Community. The second edition of The European Commission's Jurisdiction to Scrutinise Mergers provides the most thorough examination of the Commission's jurisdiction to examine mergers under the Regulation. Even though the Merger Regulation provides a detailed account of what mergers fall within the Commission's jurisdiction--and irrespective of the large number of cases that have now been decided by the Commission--the delimitation of jurisdiction continues to create significant problems. The second edition of The European Commission's Jurisdiction to Scrutinise Mergers offers a comprehensive and up-to-date analysis of all aspects of this delimitation. It provides valuable guidance to businesses, their legal advisors and competition law enforcers in the Commission as well as in the Member States. Find out more (catalog link)

Contract Law Minimalism advances the thesis that commercial parties prefer a minimalist law that sets out to enforce what they have decided - but does nothing else. The limited capacity of the legal process is the key to this 'minimalist' stance. This book considers evidence that such minimalism is indeed what commercial parties choose to govern their transactions. Find out more (catalog link)

Fixing U.S. international taxation / Daniel N. Shaviro.

International tax rules, which determine how countries tax cross-border investment, are increasingly important with the rise of globalization, but the modern US rules, even more than those in most other countries, are widely recognized as dysfunctional. The existing debate over how to reform the US tax rules is stuck in a sterile dialectic, in which ostensibly the only permissible choices are worldwide or residence-based taxation of US companies with the allowance of foreigntax credits, versus outright exemption of the companies' foreign source income. In this book, Shaviro explains why neither of these solutions addresses the fundamental problem at hand, and he proposes a new reformulation of the existing framework from first principles. Jurisdiction and arbitration agreements in international commercial law / Zheng Sophia Tang.

Location: lax
Call #: K2400 .T356 2014
Publisher:

Arbitration and jurisdiction agreements are frequently used in transnational commercial contracts to reduce risk, gain efficacy and acquire certainty and predictability. Because of the similarities between these two types of procedural autonomy agreements, they are often treated in a similar way by courts and practitioners. This book offers a comprehensive study of the prerequisites, effectiveness, and enforcement of exclusive jurisdiction and arbitration agreements in international dispute resolution. It examines whether jurisdiction and arbitration clauses have identical effects in private international law and whether they have been or should be given the same treatment by most countries in the world. By comparing the treatment of these clauses in the US, China, UK and EU, Zheng Sophia Tang demonstrates how, in practice, exclusive jurisdiction and arbitration agreements are enforced. Internet privacy rights : rights to protect autonomy / Paul Bernal.

Call #: K3264.C65 B49 2014
Publisher: Cambridge University Press,

Internet Privacy Rights analyses the current threats to our online autonomy and privacy and proposes a new model for the gathering, retention and use of personal data. Key to the model is the development of specific privacy rights: a right to roam the internet with privacy, a right to monitor the monitors, a right to delete personal data and a right to create, assert and protect an online identity. These rights could help in the formulation of more effective and appropriate legislation, and shape more privacy-friendly business models. The conclusion examines how the internet might look with these rights in place and whether such an internet could be sustainable from both a governmental and a business perspective. Behind the multilateral trading system : legal indigenization and the WTO in comparative perspective / Xing Lijuan.

Location: lax
Call #: K4610 .X56 2014

Behind the Multilateral Trading System offers a novel perspective from which to view and understand the WTO regime and its participants. The central feature of that new perspective is the concept of legal indigenization. This term generally refers to the process or ideology in which domestic authorities make and implement international or domestic rules in a way appealing to their native features (especially legal traditions), as responses to globalization led by a defective global legal system. The book's core thesis is that the influence of the legal tradition and culture of a society or political system inevitably and fundamentally influences the ways in which WTO members propose multilateral trading rules and implement their WTO obligations--in ways that have not, until now, been adequately explored and explained in the extensive literature relating to international trade law. By recognizing that corporations possess constitutionally relevant differences, we discover a principled basis by which to afford some corporations the rights and protections of the First Amendment but not others. This is critically important, because a "one-size-fits-all" approach to corporate constitutional rights seriously threatens either democratic government or individual liberty.
