Location: lax
Call #: QA76.76.C69 A35 2011
Publisher: MIT Press,

Government agencies and public organizations often consider adopting open source software (OSS) for reasons of transparency, cost, citizen access, and greater efficiency in communication and delivering services. Adopting Open Source Software offers five richly detailed real-world case studies of OSS adoption by public organizations. The authors analyze the cases and develop an overarching, conceptual framework to clarify the various enablers and inhibitors of OSS adoption in the public sector. The book provides a useful resource for policymakers, practitioners, and academics. The five cases of OSS adoption include a hospital in Ireland; an IT consortium serving all the municipalities of the province of Bozen-Bolzano, Italy; schools and public offices in the Extremadura region of Spain; the Massachusetts state government's open standards policy in the United States; and the ICT department of the Italian Chamber of Deputies. The book provides a comparative analysis of these cases around the issues of motivation, strategies, technologies, economic and social aspects, and the implications for theory and practice. Banking secrecy and offshore financial centers : money laundering and offshore banking / Mary Alice Young.

Location: lax
Call #: K5223 .Y68 2013
Publisher: Routledge,

This book brings together the issues surrounding banking secrecy and confiscation of criminal proceeds. The book examines the existing legal agreements at the international, regional and national levels and their interaction in the substantive areas of confiscation, anti-money laundering and banking confidentiality laws. It looks at how these agreements have been applied in offshore financial centres and demonstrates that despite a number of legally binding UN Conventions as well as global anti-money laundering recommendations, the implementation of them is often lukewarm by those Parties who have ratified the Convention and adopted obligations, because of this the confiscation legislation is incompatible with strict banking confidentiality laws. The work draws on the experience of criminologists to offer critical insight into the legislative frameworks designed to deal with banking secrecy and confiscation in offshore financial centres. It goes on to offer suggestions for measures that may be taken by major economies to circumvent the lack of cooperation by offshore financial centres as intolerance towards money laundering grows in light of recent political and economic events. On a daily basis, most of us accept boilerplate provisions without realizing that should a dispute arise about a purchased good or service, the nonnegotiable boilerplate terms can deprive us of our right to jury trial and relieve providers of responsibility for harm.Boilerplateis the first comprehensive treatment of the problems posed by the increasing use of these terms, demonstrating how their use has degraded traditional notions of consent, agreement, and contract, and sacrificed core rights whose loss threatens the democratic order. Confidentiality, transparency, and the U.S. civil justice system / edited by Joseph W. Doherty, Robert T. Reville, Laura Zakaras.

Location: lax
Call #: KF8700 .C658 2012
Publisher: Oxford University Press,

American law was founded on the principle of an open court, where the general public could observe judicial proceedings and report to others on the outcomes. In recent decades, however, civil disputes have been increasingly resolved out of court, with the outcomes of the disputes kept secret. While it is widely acknowledged that confidential handling of disputes has advantages, these trends reduce the transparency of the entire civil justice system. This collection of articles considers whether reversing this trend should be a public policy objective. With special attention to modern mass litigation, leading legal scholars provide empirical, nonpartisan, and multidisciplinary analyses, case studies, and novel prescriptions for reform of various aspects of the system. Corporate manslaughter and regulatory reform / Paul Almond.

Location: lax
Call #: KD7965 .A96 2013
Publisher: Palgrave Macmillan,

Corporate Manslaughter and Regulatory Reform provides an innovative account of the emergence of new corporate manslaughter offences to criminalise deaths in the workplace during the last twenty years. Occurring in many different national jurisdictions, this book shows how these developments can be understood as a coherent phenomenon. Almond identifies the historical and legal origins of the instrumentalism that has limited the ability of health and safety regulation to respond effectively to work-related death cases, explaining how and why criminal law came to be used as a means of addressing these limitations by reinforcing the moral values underpinning regulation. The contemporary neoliberal political context poses fundamental challenges to systems of safety regulation; it has created an environment in which criminal law is seen as an effective and desirable means of delivering important moral and symbolic messages that regulation cannot communicate effectively itself. Domestic judicial review of trade remedies : experiences of the most active WTO members / Edited by Muslum Yilmaz.

Location: lax
Call #: K3943 .D655 2012
Publisher: Cambridge University Press,

rade remedies, namely anti-dumping, countervailing measures and safeguards, are one of the most controversial issues in today's global trading environment. When used, such measures effectively close the markets of the importing countries to competition from outside for a certain period of time. Exporters that are faced with such measures can either try to convince their government to bring a case against the government of the importing country in the WTO or to use, themselves, the judicial review mechanism of the importing country. This second path has been, until now, largely unexamined. Domestic Judicial Review of Trade Remedies is the first book of its kind to examine in detail how the judicial review process has functioned and considers the experiences in the domestic courts of the twenty-one WTO members that are the biggest users of trade remedies. Freedom to harm : the lasting legacy of the laissez faire revival / Thomas O. McGarity.

Location: lax
Call #: KF1600 .M395 2013
Publisher:

This book tells the story of how the business community, and the trade associations and think tanks that it created, launched three powerful assaults during the last quarter of the twentieth century on the federal regulatory system and the state civil justice system to accomplish a revival of the laissez faire political economy that dominated Gilded Age America. Although the consequences of these assaults became painfully apparent in a confluence of crises during the early twenty-first century, the patch-and-repair fixes that Congress and the Obama administration put into place did little to change the underlying laissez faire ideology and practice that continues to dominate the American political economy. In anticipation of the next confluence of crises, Thomas McGarity offers suggestions for more comprehensive governmental protections for consumers, workers, and the environment. Gaveling down the rabble : how "free trade" is stealing our democracy / by Jane Anne Morris.

Location: lax
Call #: KF4606 .M67 2008
Publisher: Apex Press,

In Gaveling Down the Rabble, author/activist Jane Anne Morris explores a century and a half of efforts by corporations and the courts to undermine local democracy in the United States by using a "free trade" model. It was that very nineteenth-century model that was later adopted globally by corporations to subvert local attempts at protecting the environment and citizen and worker health.Gaveling Down the Rabble is essential reading for understanding the background of the current struggle for U.S. democracy local, state and national against growing corporate power and how we can challenge it. Since the late 1800s the U.S. Supreme Court has been cutting our local, state and national democracy off at the knees in the name of "free trade" by usurping the power to make public policy from our elected representatives in the Congress and the state legislatures and by giving power to corporations over citizens. By erecting a "free trade" zone in the U.S., corporations and their champions on the Supreme Court have seen to it that "we do not have a chance of building a democracy." Find out more (catalog link)

Location: lax
Call #: K3830 .I5953 2012

It draws together the views of international experts on the use of soft law in international law generally and in discrete fields such as WTO, commercial, and environmental law. The book assesses whether investment law has sufficiently coalesced over the last 50 years to be 'codified' and focuses particularly on topical issues such as most-favoured-nation treatment and expropriation. This timely book will appeal to academics interested in the development of international law and legal theory, to those working in investment law, Government investment treaty negotiators and arbitration practitioners. Latin American company law.

Location: lacom
Call #: KG320 .L38 2013
Publisher: Carolina Academic Press,

The two volumes of Latin American Company Law aim to create a better understanding of Latin America's company law as a tool for harnessing development capital, local and foreign, and for developing a broader class of traders, investors, lenders and corporate managers. In pursuing these goals, the authors and editors share a belief in a comparative analysis that the National Law Center for Inter-American Free Trade (NLCIFT) refers to as 'contextual': legal institutions are examined not only in light of the legal system to which they belong but also as a product of their normative purposes and socio-economic environment. Thus, prospective investors in and lenders to Latin America as well as their legal and economic advisors will learn about the legal and cultural or institutional obstacles to capital formation and financing, especially at the bottom of the economic pyramid. Law and fair work in China / Sean Cooney, Sarah Biddulph and Ying Zhu.

Location: lacom
Call #: KNQ1270 .C66 2013
Publisher: Routledge,

China’s economic reforms have brought the country both major international clout and widespread domestic prosperity. At the same time, the reforms have led to significant social upheaval, particularly manifest in labour relations. Each year, several hundred thousand disputes break out over working conditions, many of them violent, and the Chinese state has responded with both legal and political strategies. This book investigates how Chinese governments have used law, and other forms of regulation, to govern working conditions and combat labour disputes. Starting from its beginnings in the Republican period the book traces the evolution of the law of work in modern China right up to the reforms of the present day. It goes on to consider the structure of Chinese work law, drawing on both Chinese and Western scholarship to provide new insights into its unique features and assess where the law is innovative and where it is stagnant and unresponsive. Finally, the authors explore the various legal and extra-legal techniques successive Chinese governments have adopted to enforce employment law and the responses of firms, workers and organizations to these practices. Legal reform and business contracts in developing economies : trust, culture, and law in Dakar / Julie Paquin.

Location: lacom
Call #: KTG920 .P37 2012
Publisher: Ashgate Pub.,

This book examines the prospects for business law reform to drive economic development in developing countries. It argues that, despite statements to the contrary, cultural factors and other local conditions in developing countries are not properly taken into account in current business law reform programs. Utilizing the city of Dakar as an example, this book investigates the consequences of this lack of fit between local needs and transplanted legal models by examining the potential and actual impact of the OHADA program of law reform on local business practices. Focusing on how managers make decisions and apply appropriate norms in routine business operations, the book documents how contractual disputes arise and are solved in Dakar and the role played by formal law in these processes. By examining imported law from the point of view of the end-users of legal reforms, the book reveals the complex relationship between formal law, local cultural norms and the activities of SMEs operating in developing economies, and calls for a reconsideration of current law and development theory as well as the role of contract law in business decisions. Standard of review in WTO dispute settlement : critique and development / Ross Becroft.

Location: lax
Call #: K4610.5 .B43 2012
Publisher: Edward Elgar,

This detailed book critiques how the World Trade Organization scrutinizes domestic measures to determine compliance with the WTO Agreements. This scrutiny, known as the standard of review, is particularly relevant when WTO panels are examining measures involving controversial domestic policy issues. The author argues that the current WTO standard of review is inadequate and a flexible standard based on the responsibilities that WTO members have retained for themselves under the WTO Agreements is preferable. This new standard of review would better reflect the autonomy contemplated for members under the WTO rules and reduce scope for the contention that the WTO overreaching its mandate. This work provides a foundation for mediating relations between states and the WTO, and similar international organisations. It will be of great interest to scholars and practitioners in the fields of law and international relations with an interest in international economic law, the WTO or international organisations in general. Three and a half minute transaction : boilerplate and the limits of contract design / Mitu Gulati and Robert E. Scott.

Location: lax
Call #: K845.S7 G86 2013
Publisher: University of Chicago Press,

Drawing on over two hundred interviews, Mitu Gulati and Robert E. Scott provide an eye-opening account of the institutional pressures on attorneys who prepare contracts that undergird huge financial deals. A contract of this sort consists mostly of boilerplate terms, that is, clauses copied from prior deals. The authors insightfully explore why most lawyers engage in this sort of herd behavior, but also why they respect the few who stray from the herd. A landmark study of the folkways of high-powered transactional lawyers. Find out more (catalog link)
