Current Projects

Professor Ribstein is currently working on projects related to his long-standing interests in the legal profession, jurisdictional competition, constitutional law, white collar crime, fiduciary duties, film, and unincorporated business associations. His ongoing projects in these areas include the future of law practice and legal education; the implications of jurisdictional competition for growth and competitiveness, federal preemption rules and environmental law; the fiduciary duties of mutual fund managers and investment advisors; the extent to which unincorporated firms ultimately may replace public and closely held corporations; the application of the First Amendment to corporate governance in the wake of Citizens United; and how business is portrayed in film.

Career Overview

Professor Ribstein is the author of leading treatises on limited liability companies (Ribstein & Keatinge on Limited Liability Companies) and partnership law (Bromberg & Ribstein on Partnerships), as well as two business associations casebooks (Ribstein & Lipshaw, Unincorporated Business Entities, 4th edition 2009) and Ribstein & Letsou, Business Associations, 4th edition, 2003). His books also include The Sarbanes-Oxley Debacle and The Constitution and the Corporation (both with Henry Butler), The Law Market (with Erin O'Hara), The Rise of the Uncorporation and The Economics of Federalism (with Kobayashi). From 1998-2001 he was co-editor of the Supreme Court Economic Review. Ribstein has also written or co-authored more than 170 articles on a wide variety of subjects. He is a leading contributor to the Truth on the Market, a blog that provides policy analysis of current business-related issues.

Honors and Recognitions

Professor Ribstein has been ranked in the top four of corporate law professors in scholarly impact and is the 14th most downloaded law professor in the world on SSRN. Professor Ribstein's Truth on the Market blog has been ranked by the ABA Journal as one of the 100 top law blogs.
